BYLAWS
CREEKSIDE GOLF CLUB
MEN'S GOLF ASSOCIATION
ARTICLE - NAME
The name of this association shall be the Creekside Men's Golf Association (hereinafter referred to as the "MGA").
ARTICLE 2 - PURPOSE
Section 1. The objectives and purposes of this organization are to promote, foster, regulate, develop and conduct activities among the members of the MGA as follows:
a. To conduct regularly scheduled golf events throughout the year.
- To establish and maintain handicaps, according to the Rules of the United States Golf Association and the Oregon Golf Association.
- To cooperate and comply with the Rules and Regulations of the United States Golf Association, except where local rules prevail.
- To develop among the members a knowledge and appreciation of the Rules, traditions and etiquette of golf.
Section 2. All activities of the MGA shall be carried on without financial benefit to its members, officers or directors, none of whom shall be paid for their service to the MGA.
Section 3. The MGA shall be a non-profit association. All funds received by the MGA from its activities or dues shall be used solely for the purposes set forth in these Bylaws.
ARTICLE 3 - MEMBERSHIP
Section 1. Membership in the MGA is open to all male full golf members in good standing of the Creekside Golf Club who are 18 years of age or older. Sons of Creekside members who have not yet reached their 24th birthday are not required to hold MGA membership unless they wish to establish a USGA handicap and/or participate in MCA events.
Section 2. Membership in the MGA is required to participate in Creekside Men's Club events. All Creekside men's events will be governed by the MGA.
Section 3. An MGA member must be at least 18 years of age, pay the annual MGA dues assessment, and abide by and support the Bylaws and club rules of the MGA and Creekside Golf Club. Only members with a permanent handicap (or those in the process of establishing a permanent handicap) will be eligible for MGA events and prizes.
Section 4. After payment of MGA dues, a member in good standing is entitled to all the rights and privileges of the MGA:
- To participate in any MGA sponsored event
- To vote
- To serve on committees
ARTICLE 4 - DUES AND FEES
Section 1. Dues will be determined annually by the MGA Board, with notice to Club Management. Annual dues will be billed in advance to every member on their November statement and will be payable in the month of December. Members joining after that date must pay MGA dues before participating in any MGA events. Dues are nonrefundable.
Section 2. The MGA's fiscal year shall be January through December 31.
ARTICLE 5 - BUDGET
The budget for each year shall be presented by the President after careful research of future costs and submitted to the MGA Board and shall be approved at the Spring MGA Board Meeting.
ARTICLE 6 - MEETINGS, QUORUMS, MAJORITY VOTES
Section l. The MGA will schedule its activities from March through November. General MGA membership meetings shall be held twice yearly or as determined necessary by the President and/or the MGA board.
Section 2. The MGA Board shall meet monthly, or as required. Special meetings may be called by the President or the MGA Board as deemed necessary with five days telephone notice.
Section 3. A quorum shall be constituted by:
- A quorum at a general membership meeting shall consist of no less than 10 percent of the MGA membership.
- A quorum at an MGA Board meeting shall consist of at least three board members eligible to vote.
Section 4. A majority vote is over half of the votes cast.
Section 5. By February of each year, the MGA Board shall adopt a tournament schedule for the upcoming year. The schedule shall be submitted to the Creekside Golf Club management on or before this date.
Section 6. Both a fall and spring meeting of the members of the MGA shall be held. The spring meeting will be held in either March or April and the fall meeting shall be held in either September or October. The meetings shall be held at Creekside Golf Club for the purpose of receiving reports from the Officers and conducting such business as may properly be brought before the meeting. Unless these rules are suspended by two-thirds vote of the members at such meeting, the business of each meeting shall include:
- Determination of the presence of a quorum.
- Treasurer's report
- President' s Report
- Reports from Creekside Golf Club management
- Old business pending from prior meetings
- New business
- Adjournment
Section 7. A special meeting of the members shall be called by the President, and held upon at least 15 days notice within 30 days after receiving written instructions from the MGA Board to call such meeting and/or after receiving the written request for a special meeting from 30 members in good standing of the Association.
Section 8. All notices of special meetings shall include a statement of the purpose for which such meeting is being called. No other business may be transacted at a special meeting except that which is specified in the notice.
Section 9. The Secretary shall cause to be posted on the bulletin boards in the clubhouse of Creekside Golf Club, at least 15 days in advance of any meeting, notice of the time, date, place and purpose.
Section 10. Each member in good standing shall have one vote on each question and one vote for each position to be filled by election, whether cast in person, by mail, or electronically. The MGA Board will determine the voting process for each election.
ARTICLE 7 - MGA BOARD
Section 1. MGA Board members must participate in a minimum of 30% of MGA sponsored events.
Section 2. The MGA Board will consist of five men in which the following five Offices are filled:
- President
- Vice President/Tournament Director
- Board member/Assistant Tournament Director
- Treasurer
- Secretary
Section 3. Terms of MGA Board members shall end and the duties of succeeding MGA Board members shall commence at the later of either the closing of the fall meeting or at the conclusion of the Closing Event.
Section 4. Each MGA Board member shall serve until his duly elected successor takes office.
Section 5. The MGA Board shall have the power to adopt such rules and regulations consistent with these Bylaws and to enforce and amend such rules and regulations as the MGA Board members deem necessary for the benefit and welfare of the Association and its members.
Section 6. The MGA Board shall have exclusive management and control over all funds collected by, or
on behalf of, the Association and shall expend such funds pursuant to the annual budget.
Section 7. The MGA Board shall have the power to amend these Bylaws provided, however, that such amendment shall require two-thirds vote of the members in attendance at one of the two annual meetings.
Section 8. The MGA Board has the power to fill vacant seats on the MGA Board by majority vote. Each person so appointed shall serve the balance of the term of the MGA Board member he replaces.
Section 9. The MGA Board shall keep accurate minutes of its meeting and activities.
Section 10. The MGA Board may remove an MGA Board member by a unanimous vote of the entire MGA Board, excluding the MGA Board member in question, if an MGA Board member:
- Fails to attend two consecutive Board meetings.
- Fails to conduct himself in a manner consistent with the purposes of and the best interests of the Association.
- Materially breaches the Bylaws or the rules and regulations of the Association.
Section 11. It shall be the duty of the MGA Board to interpret the intent of the Bylaws and to promote the general aims of good sportsmanship and fellowship of the game. The MGA Board may suspend the playing privileges of a member by a four-fifths vote of the Board members if the member:
- Fails to conduct himself in a manner consistent with the purposes and best interests of the Association.
- Materially breaches the Bylaws or rules and regulations of the Association.
Section 12. The MGA Board may expel a member of the Association by a four-fifths vote of the members in attendance at a general membership meeting if the member:
- Fails to conduct himself in a manner consistent with the purposes and best interests of the
Association.
- Materially breaches the Bylaws or rules and regulations of the Association.
Section 13. On suspension or expulsion, MGA membership dues will not be refunded.
Section 14. In July of each year, the MGA Board shall appoint a nominating committee of three members under the direction of the Vice President to consider and select a list of nominees as candidates for the positions of Secretary and Board member on the MGA Board. The names of the nominees selected by the nominating committee shall be posted on the bulletin boards of Creekside Golf Club no later than September 1st of each year. Additional nominees may be nominated on or before September 15 th of each year by a petition bearing the signatures of at least 10 members in good standing of the Association. On September 16th of each year, the names of all nominees, listed alphabetically, shall be posted on the bulletin board.
Section 15. Board members shall be elected in October by secret ballot. Ballots shall be e-mailed to the members no later than October 1 of each year and must be returned before the fall annual meeting. The nominating committee shall serve as judges promptly after the ballot deadline, count the ballots and report the results of the election to the Association. The candidates receiving a plurality of votes shall be elected. In case of a tie among two or more candidates, the winner will be decided by lot.
Section 16. A vacancy in the office of the President shall be filled by the Vice President/President Elect. A vacancy in the office of the Vice President shall be filled by the Board member/Assistant Tournament Director. A vacancy in the office of the Treasurer shall be filled by the Secretary. Appointments to all other vacancies shall be made by the MGA Board.
Section 17. The MGA Board may appoint special committee and special committees as deemed necessary.
Section 18. A member shall have the right to serve no more than five consecutive terms on the MGA Board. The Board member/Assistant Director shall serve a total of three terms, the second year as Vice President/Tournament Director and the third year as President. The Secretary shall serve two terms, the second year as Treasurer.
Section 19. The MGA account will be operated through the Creekside business office. All expenditures shall be approved by the MGA Board.
ARTICLE 8 - DUTIES OF OFFICERS
Section l. The President shall:
- Preside at all MGA meetings.
- Be an ex officio member of all committees except the nominating committee.
- Issue formal notices of general membership meetings and MGA board meetings.
- Maintain complete files of business, suggestions, comments, etc. to be transferred to his successor.
- Submit the annual budget and tournament schedule within the time and guidelines of these Bylaws.
Section 2. The Vice-President shall:
a, Assist the President in carrying out his duties.
b. Preside in the absence of the President.
c. Shall serve as President of the MGA in the following year.
d. Select and assign tournament directors.
e. Supervise tournament committees.
f. Provide oversight of Article 9 section 1.
Section 3. The Board Member/Assistant Tournament Chair:
- Assist Tournament director in performing his duties.
- Sit on all tournament committees.
- Provide oversight of Article 9 section 2.
- Serve as Vice President/Tournament Director in the following year.
Section 4. The Treasurer shall:
- Be custodian of all operating funds.
- Monitor dues, fees, and issue receipts for contributions.
- Disburse funds as authorized by the MGA Board.
- Make a financial report at every MGA meeting.
- Have books audited by two other officers, and present and distribute a financial report to the membership at the October meeting.
- Transfer complete records to his successor by November 1.
Section 5. The Secretary shall:
- Keep accurate minutes of all MGA board, general and special meetings.
- Handle all correspondence as directed by the MGA Board.
- Post notice of the date, time, place and purpose of any annual or special meeting at least 15 days in advance of said meeting.
- Transfer complete records to his successor by November 1.
- Be responsible for maintaining historical and tournament records.
- Serve as Treasurer in the following year.
- Be responsible for any public relations activities as directed by the MGA Board.
ARTICLE 9 - DESCRIPTION OF RESPONSIBILITIES
Section 1. Tournaments.
a. Prepare and present the events calendar to the MGA membership.
b. Plan and coordinate all golf activities with the Head Golf Professional and Club Management.
l. Supervise promotion and publicity for all events.
2. Determine entry fees and special events.
3. Promote and enforce both the MGA and Creekside pace of play policy.
- Keep the membership aware of the Rules of Golf.
- Promote knowledge of and adherence to the Rules of Golf.
ARTICLE 10 AMENDMENTS
These Bylaws may be amended at any general membership meeting by a two-thirds vote of members present, provided the amendments have been approved by the MGA Board and then posted on the MGA bulletin board at least four weeks before the meeting.
ARTICLE 1 1 - PARLIAMENTARY AUTHORITY
For all purposes not inconsistent with these Bylaws, Robert's Rules of Order, Revised, shall be the parliamentary authority.
